Cloud Computing Contracts

Similar to cloud computing models, cloud computing contracts appear in a wide variety of forms. These can range from simple standardized click-wrap agreements to framework and multilayered sets of terms and conditions. This chapter aims to assist customers to navigate through the typical contractual issues in cloud computing contract. Some of these issues should be familiar to those who deal regularly with information technology contracts. The chapter sets out a brief summary of the key contractual issues that can arise in contracts with service providers for cloud computing services. Most of these issues are ultimately business ones, requiring business decisions, but they are “legal” in the sense that they either are embedded in the contract or should be dealt with in the contract. The customer should check that all of the issues are covered in a cloud computing contract or the customer's internal governance policies.
